SBH was founded by lawyers and entrepreneurs who saw that the traditional law firm model is broken. Our partners have decades of experience in law and business—we trained in top global law firms, served as general counsel, and built companies of our own. We know what it’s like to be the client—to hire lawyers, manage them, and pay their bills—and we use that perspective to deliver legal strategies that serve real business goals.
Our expertise spans corporate governance, M&A, contracts, finance, business litigation, entertainment, media, real estate, and labor and employment. Our practice is lean and efficient, with no bureaucracy, no misaligned incentives, and no unnecessary overhead. We use the same modern technology and business processes we used in our own companies and offer flexible billing—monthly, project-based, hourly, or custom—because fees should reflect value delivered, not hours logged.
Our external general counsel practice delivers sophisticated, ongoing legal support without the cost of an in-house legal team. We embed in your business, anticipate risks before they become problems, and provide proactive counsel at every stage of growth.
We built SBH to be the kind of firm we would hire—one that operates with the speed and efficiency of a modern business while delivering the results of a big law firm.
What We Do
Our Services
External General Counsel
We partner with clients to deliver proactive and ongoing legal support without the cost of an in-house legal department.
We build and manage critical legal systems for our clients. As founders and general counsels ourselves, we know what companies need from a legal department. We fill that role without the cost of an internal legal team. Our approach combines practical risk management with growth-minded strategies tailored to achieving business goals.
Most law firms are reactive to distinct legal issues clients ask them to handle—we’re different. We partner with our clients to deliver strategic, proactive and ongoing legal support that drives informed, timely decisions that minimize risk and maximize upside.
We handle corporate and fund governance, contracts, M&A, corporate transactions, compliance frameworks, dispute resolution and other ongoing legal issues that arise in every business. Our practice serves a wide range of industries, including technology, hospitality, entertainment, FinTech, payment processing and real estate. Our experience as lawyers and operators in these industries positions us to anticipate and identify important legal issues early and solve them effectively.
Commercial Contracts
We negotiate, structure, draft and manage commercial agreements.
Contracts are not just documents—they create, protect and enhance value. We understand the business realities behind every agreement and structure contracts to minimize legal exposure and maximize business and economic objectives.
We have real world expertise in all kinds of contracts that make businesses work, including customer agreements, vendor and supplier agreements, service agreements, strategic partnership agreements, intellectual property agreements, technology agreements, distribution agreements, referral agreements, entertainment industry agreements, employment agreements and independent contractor agreements. We also help clients build scalable contract systems, standardize templates and implement review processes that accelerate contract cycles and enhance the value of every agreement.
Our commercial contracts practice serves a wide range of industries, including technology, hospitality, entertainment, FinTech, payment processing and real estate. We leverage our business and legal experience in all these industries to give our clients the edge in every contract negotiation.
Corporate & Transactions
We structure companies and funds, and negotiate and structure corporate transactions.
We represent companies, founders and executives at every stage of the corporate lifecycle from formation to complex corporate transactions. Corporate governance decisions are not just about compliance—they shape how companies mitigate risk and maximize value. As founders and investors ourselves, we know how to structure companies and funds to achieve long-term business objectives. We advise clients in all aspects of corporate governance, including business and fund formation, operating and partnership agreements and shareholder matters.
Businesses are built on transactions. We have personally financed, bought and sold businesses, and represent companies, funds, founders and investors in M&A, fund formation, finance and other corporate transactions. We know how to extract maximum value from every transaction and advise our clients in all aspects of the transaction process from sourcing, to valuation, to diligence, to risk-allocation, to closing.
Our transactional lawyers advise clients in a variety of industries, including technology, hospitality, entertainment, media, FinTech, payment processing and real estate. Our experience as founders and operators in these industries positions us to understand the complexities and business objectives involved in each transaction and extract maximum value out of every deal.
Litigation & Disputes
We defend, prosecute and resolve commercial disputes.
We are former litigators in top global law firms. And as founders and executives ourselves, we understand what’s at stake when disagreements threaten a company. Our approach blends rigorous legal advocacy with practical business judgment focused on achieving efficient, cost-effective and business-oriented results.
We evaluate disputes from both a legal and business perspective, and employ strategies centered on quickly identifying and maximizing leverage points, assessing risk and using litigation tools to achieve broader business objectives. Our goal is simple—when inevitable business disputes arise, extract maximum value for our clients as quickly as possible.
We handle complex business disputes, including those involving contracts, intellectual property, partnerships, M&A, labor and employment, business torts and fraud. Our litigation team also serves a wide range of industries, including technology, hospitality, entertainment, FinTech, payment processing and real estate. Our deep experience as both lawyers and operators positions us to uniquely understand our clients’ goals and solve business disputes efficiently and effectively.
